Terms of Service

Effective date: 2026-07-17

1. Parties and Subject Matter

This agreement governs the terms under which the Nidiet software is made available by subscription, between, on one side, the service provider Moserra Software (hereinafter "Nidiet"), and, on the other side, the dietitian or business opening a Nidiet account (hereinafter "User"). By opening an account you accept this agreement.

2. Definitions

  • Service: the diet-planning and client-tracking software offered under the name Nidiet and accessed through a browser.
  • Client: the person to whom the User provides services.
  • Credit: the right to publish a new-period plan for a client.
  • Period: the shortest unit of time for which the subscription is sold.

3. Scope of the Service

The Service allows an unlimited number of clients to be recorded under a single subscription; no fee is charged per client. The Service is provided "as is" over the cloud: the User does not need to set up a server, install software or perform maintenance.

The content of the Service may be developed over time. Where a change is made that materially restricts the User's existing use, the User will be informed before the change takes effect. Features marked "Coming soon" on our pages are not yet offered and are not included within the scope of this agreement.

4. Food Database and Professional Responsibility

The Service provides a library based on USDA (United States Department of Agriculture) data for nutrient values. This data is provided for reference purposes.

Nidiet is not a medical device or a diagnostic tool; it does not provide medical or dietetic advice. The Service is a tool for the dietitian practising their profession. Responsibility for the content, suitability and accuracy of the diet plan provided to the client, as well as its compliance with professional legislation and ethical rules, rests exclusively with the User. The User declares that they are authorised to provide this service under the applicable health legislation.

5. Obligations of the User

  • The User is responsible for the security of the account credentials and for the transactions carried out through the account.
  • The User declares that they have the legal basis required to process their clients' personal data and that they have informed their clients in the manner prescribed by the legislation.
  • The Service may not be used for unlawful purposes, in a manner that infringes the rights of third parties, or in a way that disrupts the operation of the system.
  • The account may not be shared for multiple dietitians to manage their own clients. The Service is currently offered for single-dietitian use.

6. Protection of Personal Data and Allocation of Roles

With respect to clients' personal data — including health data — the User is the data controller and Nidiet is the data processor. Nidiet processes this data solely for the provision of the Service and in accordance with the User's instructions; it does not use the data for its own purposes, does not sell it, and does not process it for advertising purposes.

For the security of the data, Nidiet takes reasonable technical and administrative measures, including TLS encryption in transit, encrypted storage on the server side, data isolation between companies, and restriction of authorisations. The processing of data relating to the User's own account is explained in the KVKK Privacy Notice.

The User may export their data through the panel for as long as the account is open. If the account is closed, the data is deleted to the extent that no legal ground requiring its retention remains.

7. Fee, Payment and Period

  • The price is displayed monthly; however, the subscription is sold in periods of 3 months and is collected in advance at the start of the period. No single monthly sale is made.
  • As part of the launch, the first 3 months are free and no payment instrument is requested for this period. Automatic payment does not begin when the free period ends; continuing is the User's decision.
  • Unless renewed at the end of the period, the subscription terminates automatically; no withdrawal fee is charged. In the event of termination in the middle of a period that has begun, no refund is made for the remaining time.
  • Each month 20 plan-publishing credits are granted to the account free of charge. A credit is deducted only when a new-period plan is published for a client; drafting, editing and template use do not consume credits. Monthly bonus credits do not carry over and expire at the end of the month. The earning, spending, validity period of credits and their status in the event of non-payment are regulated in detail in the Subscription and Credit Agreement.
  • A change in price is notified to the User before the current period ends and applies only in the next period.

8. Intellectual and Industrial Property Rights

All intellectual rights relating to the Service belong to Moserra Software. The User is granted a non-transferable and non-exclusive right of use, limited to the duration of the subscription and to the terms of this agreement. The source code of the software may not be accessed, copied or reverse-engineered.

The data entered into the system by the User (client records, plans, templates, logo and images) belong to the User. Nidiet has the right to process them only to the extent necessary to provide the Service.

9. Service Continuity and Support

Nidiet makes reasonable efforts to keep the Service running without interruption; however, uninterrupted operation is not guaranteed. Planned maintenance is carried out during off-peak hours as far as possible. Support requests may be submitted through the panel or at info@moserra.com; they are answered within a reasonable time.

10. Limitation of Liability

Nidiet's total liability arising from this agreement may not exceed the fee actually paid by the User in the twelve months preceding the event giving rise to the liability. Nidiet is not liable for loss of profit, loss of business, reputational damage or indirect damages. This limitation does not apply to damages arising from Nidiet's wilful misconduct or gross negligence, or to liabilities that cannot be limited under the legislation.

The User shall indemnify Nidiet against claims arising from the service the User provides to their client or from any breach of health legislation.

11. Term and Termination

The agreement enters into force when the account is opened and continues for as long as the account remains open. The User may terminate the agreement at any time by not renewing the subscription or by closing the account. In the event of a material breach of this agreement by the User, Nidiet may terminate the agreement, granting a period to cure where possible and if the breach is not remedied; in the event of unlawful use, access may be suspended immediately.

12. Force Majeure

In circumstances beyond the parties' control, such as natural disaster, war, epidemic, general infrastructure or electronic communications outages, cyber-attack and decisions of public authorities, the performance of obligations is suspended for as long as the impediment continues, and no liability arises for this period.

13. Assignment

The User may not assign the rights arising from this agreement without Nidiet's written consent. Nidiet may use subcontractors (such as hosting and notification infrastructure) to provide the Service; it is liable for the acts of the subcontractor as for its own acts.

14. Service of Process and Notices

Notices are made to the e-mail address registered in the User's account or by in-panel notification. The User is obliged to keep their contact information up to date.

15. Amendment of the Agreement

This agreement may be updated. Material changes to the detriment of the User are notified before they take effect; if the User does not accept them, they may terminate the agreement by not renewing the subscription. The current version is always published on this page.

16. Governing Law and Jurisdiction

This agreement is governed by Turkish law. The Istanbul Courts and Enforcement Offices have jurisdiction over the resolution of disputes. Where the User has the status of a consumer, the competent authorities prescribed by consumer legislation are reserved.
