Subscription & Credit Agreement

This document is an integral annex to the NIdiet Terms of Service and governs the special conditions for the earning, use, validity and expiry of the subscription and the plan-publishing credits. By opening an account and/or using the subscription you are deemed to have accepted these conditions. In case of conflict, the provisions of this document relating to credits shall prevail with respect to credits.

1. Definitions

Credit: a virtual unit representing the right to publish a new-period diet plan for a client.
Complimentary credit: the 20 credits granted free of charge each month under the subscription.
Bonus credit: credits granted through campaigns such as launch (20), reviews (20) or referrals.
Package credit: credits purchased by the User for a fee.
Publication: the assignment of a plan to a client for a period and its release for the client's use.
Period: the shortest unit of time for which the subscription is sold (3 months).

2. Legal Nature of Credits

Credits are a license to use; they are not real money, deposits, securities or property. In consideration of payment, the User does not acquire ownership of the credits; the User acquires only a limited, personal, non-transferable right of use that may be revoked in the event of breach of this agreement, to be used solely for publishing plans within the Service.

Credits cannot be converted to cash, transferred between users or between accounts, sold or pledged, and have no value outside the Service. Unused credits do not give rise to any debt or receivable.

3. Earning and Spending Credits

In connection with the subscription, 20 complimentary credits are granted to the account free of charge each month.
A credit is deducted only when a new-period plan is published for a client — 1 (one) credit.
Unlimited client registration, appointments, measurement tracking, creating/editing draft plans and using templates do not consume credits.
After a plan has been published, revisions made within the editing window below and reprinting/resending of the same content do not require additional credits.
When credits are spent, the credit expiring soonest is used first, so that credits purchased for a fee or bonus credits are preserved as a priority.

4. Editing Window and Plan Limits

An editing window is opened for each published plan. The window is calculated according to the duration of the plan (half of the plan + 2 days; it closes before the plan ends) and, where no date has been entered for the plan, it is by default 7 days. Once the window closes, the content of the plan cannot be changed; to advance the client's programme a new-period plan is created and its publication deducts 1 credit.

A plan may be defined for a maximum of 30 days.
The start/end dates of a plan may be changed within 24 hours of its creation; thereafter they are fixed.

5. Validity Period of Credits

Complimentary credits: expire at the end of the month in which they are granted and do not carry over (use it or lose it).
Bonus credits (launch, review, referral): valid for 12 months from the date on which they are granted.
Package credits purchased for a fee do not automatically expire based on time; they remain valid for as long as the account is active. They may be deleted only in the event of the account's prolonged inactivity (Article 10).

Expired complimentary and bonus credits become unusable and no refund, cash equivalent or compensation may be claimed for them.

6. Subscription, Period and Fee

The subscription is sold in periods of at least 3 months and is collected in advance at the beginning of the period; no single monthly sale is made.
Under the launch offer, the first 3 months are free of charge; no payment method is requested for this period and no automatic payment begins when it ends.
The current fee is displayed in the local currency on the registration and billing screens. Any price change is notified before the current period ends and applies only in the following period.

7. Right of Withdrawal and Refund of Purchased Credits

Complimentary and bonus credits, being granted free of charge, are non-refundable, cannot be converted to cash and no compensation may be claimed for them.
For package credits purchased for a fee, the right of withdrawal may be exercised in accordance with the distance-selling legislation within 14 (fourteen) days of the purchase date, provided that no credit from the package has been used; in that case the amount paid is refunded.
If at least one credit from the package has been used or the 14-day period has elapsed, the right of withdrawal is extinguished. The remaining credits may be used throughout their validity period (12 months) but are not refundable.

8. Non-Payment and Termination of the Subscription

If the subscription period is not renewed or its fee is not paid, access to the paid features of the account is suspended. During the suspension and once the subscription has ended, the credits in the account cannot be used.

Since complimentary and bonus credits are granted free of charge, no refund, cash equivalent or compensation may be claimed for them in the event of non-payment or termination of the subscription; their validity periods continue to run (end-of-month complimentary credits may expire).
With respect to amounts paid in advance and not yet used, the rights provided by the relevant consumer legislation are reserved for Users having the status of consumer.
When the subscription is restarted, bonus/package credits whose validity has not yet expired become usable again.

9. Termination of the Service

NIdiet reserves the right to terminate the Service in whole or in part. In the event of a permanent shutdown of the Service, the User is informed a reasonable time in advance and is given the opportunity to export their data. In such a case no refund or compensation may be claimed for complimentary/bonus credits granted free of charge; for amounts paid in advance and not used, the rights provided by consumer legislation are reserved.

10. Deletion of Inactive Accounts

Accounts into which no login has been made for 24 consecutive months are deemed inactive. NIdiet may delete inactive accounts — including all data, client records and credits they contain — in order to make efficient use of server resources and in accordance with the principle that personal data should not be retained longer than necessary (data minimization). Before deletion, a warning allowing a reasonable period is sent to the email address registered on the account; within this period the User may keep the account active by logging in or may export their data. No refund or compensation may be claimed for deleted credits.

11. Amendments and Entry into Force

This document may be updated. Material changes to the detriment of the User are notified before they enter into force; the current version is always published on this page. In matters not governed here, the provisions of the Terms of Service and the KVKK Privacy Notice apply; dispute resolution and the applicable law are as set out in the Terms of Service.
